Business and Corporate Law

Business and corporate law involves advising business owners on selecting and forming the appropriate business entity at the inception of their business. A business and corporate attorney also needs to be able to ensure that clients operate within state law rules applicable to the relevant business type, and the client’s own internal rules. Business and corporate law also includes advising clients in complicated business transactions such as stock sales, asset sales, mergers and liquidations.

The attorneys of McDermottWard have assisted businesses and their owners in a broad range of challenging and complex business formation and transaction issues. We assist businesses in all stages of development; from selecting the correct type of entity at the business’s formation (e.g., Limited Liability Company, Corporation or Partnership) and drafting the appropriate formation documents for the business, such as its bylaws, operating agreement or partnership agreement, through providing the business owner with the appropriate succession planning (Estate Planning for a business). We also advise our business clients on the purchase and sale of entities and assets. Tax consequences are often a major factor in transactions and formations. Our attorneys are also adept at advising our clients of these consequences so that the client can make an informed decision about whether and how to proceed.

Our business and corporate services extend to the maintenance of corporate minute books for our clients and acting as the registered agent with the Virginia State Corporation Commission for our Limited Liability Company and Corporate clients.
